Terms of Service

ClinStudy® ("Platform", "we", "us", "our") is a software-as-a-service (SaaS) platform designed to facilitate connections between clinical trial sponsors ("Sponsors") and service providers ("Providers") in the life sciences industry.

ClinStudy® is strictly a facilitation platform. We:

• Provide tools to help Sponsors find, evaluate, and communicate with Providers
• Offer workflow management features for clinical trial operations
• Enable document sharing, messaging, and collaboration
• Provide AI-assisted features powered by third-party services (see AI Disclaimer)

ClinStudy® does NOT:

• Provide medical, scientific, regulatory, legal, or financial advice
• Guarantee any outcomes, timelines, or results
• Act as a party to any contract between Sponsors and Providers
• Serve as a mediator, arbitrator, or dispute resolution body
• Verify the accuracy, completeness, or suitability of any information
• Guarantee service availability, uptime, or data integrity

You acknowledge and agree that:

• All decisions are yours alone. Any decision you make based on information obtained through ClinStudy® is entirely your responsibility. You must independently verify all information before acting upon it.
• ClinStudy® is a decision-support tool only. Our platform is designed to augment your decision-making process, not replace it. You must exercise your own professional judgment.
• Errors and mistakes may occur. The Platform, including any AI-assisted features, may contain errors, inaccuracies, or omissions. You must account for this possibility in your decision-making.
• Service interruptions may occur. We do not guarantee uninterrupted access to the Platform. You should maintain alternative processes for critical operations.
• You are responsible for compliance. You must ensure your use of the Platform complies with all applicable laws, regulations, and industry standards, including but not limited to GCP, GDPR, HIPAA, and FDA regulations.

3.1 Subscription Fees

• ClinStudy® charges a monthly subscription fee based on your selected plan
• Annual payment options are available at a discounted rate
• Subscription fees are non-refundable except where required by mandatory applicable law or expressly agreed in a separate written agreement signed by ClinStudy®
• We reserve the right to modify pricing with 30 days advance notice

3.3 Contracts and Payments Outside ClinStudy®

• ClinStudy® is a pre-award provider discovery, quote request, comparison, and selection platform
• Sponsors and providers contract, invoice, and pay each other outside ClinStudy® unless a future written service says otherwise
• ClinStudy® does not hold funds or control payment release
• Any commercial terms outside ClinStudy® are agreed directly by the parties

ClinStudy® supports pre-award sourcing workflows such as provider discovery, quote requests, shared quote rooms, comparisons, and provider selection. The legal and commercial relationship is exclusively between the Sponsor and Provider.

ClinStudy® does not hold funds, release payments, adjudicate deliverables, or manage post-award payment obligations. Any contracts, invoices, purchase orders, or payment terms are handled directly between the parties.

We expressly disclaim responsibility for:

• Any decisions made based on Platform information or AI-generated content
• The quality, accuracy, or suitability of services provided by Providers
• Any losses arising from service interruptions or data loss
• Regulatory compliance failures by users
• Any outcomes of clinical trials or research activities
• Financial losses, missed deadlines, or failed studies

No refunds are provided for:

• Dissatisfaction with Platform features or functionality
• Temporary service interruptions or outages
• Unused subscription time due to user inactivity
• Disputes with Providers or failed business relationships
• Changes to Platform features or pricing
• Account termination due to Terms of Service violations

Personal data, cookies, and processor obligations are governed by separate ClinStudy® legal documents incorporated by reference where applicable:

• Subprocessors
• Security Measures

Where ClinStudy® processes Customer Personal Data on behalf of a Sponsor or Provider as processor, the ClinStudy® Data Processing Terms apply and control for that processor processing.

You agree to indemnify, defend, and hold harmless ClinStudy®, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any contracts or disputes between you and other Platform users
• Any content you submit or share through the Platform
• Any claims by third parties related to your activities on the Platform

These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to conflict-of-law provisions.

Any disputes arising from these Terms or your use of the Platform shall be submitted to the competent courts of Hungary, with venue in Budapest unless mandatory law requires otherwise.

You waive any right to participate in a class action lawsuit against ClinStudy® to the maximum extent permitted by Hungarian law.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification at least 30 days before changes take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
